Terms of service

1. About these terms

These terms are an agreement between EveryFrame Digital Pty Ltd ("EveryFrame", "we", "us") and the school that subscribes to EveryFrame ("your school").

Your school accepts these terms when the person subscribing ticks the box at checkout. That person confirms they are authorised to accept them on the school's behalf.

2. The plan

A subscription is a 12-month plan costing A$4,992 plus GST (A$5,491.20 including GST).

The plan is billed monthly by card at A$416 plus GST (A$457.60 including GST), starting on the day your school subscribes. Paying monthly spreads the cost of the year. It does not make the plan month to month: your school commits to the full 12 months when it subscribes.

We will provide a tax invoice for any payment on request.

3. Renewal

At the end of each 12-month term, the plan renews for another 12 months unless, before the term ends, your school chooses not to renew from its account or tells us by email.

We email the billing contact a reminder about two months before the term ends, and again about one month before.

Choosing not to renew does not end the plan early. EveryFrame keeps working, and the plan is billed as normal, until the end of the term.

4. Ending the plan early

Your school may end its plan before the term ends, from its account or by telling us by email.

Ending early means paying the remaining months of the 12-month term: the monthly fee, plus GST, for every month of the term not yet paid for, charged as one invoice.

EveryFrame keeps working at your school until the end of that term.

5. What the licence covers

While the plan is active, your school's staff may use EveryFrame on up to 10 of the school's computers. More computers are available on request.

Each computer is activated with your school's licence key and a staff member's own email address at your school's email domain, confirmed by a code emailed to that address. Personal and shared email services cannot be used.

Each staff email address can be active on one computer at a time. Activating it on another computer moves it there, and the first computer is no longer licensed.

The licence key is for your school only. Do not share it outside the school, and tell us straight away if it may have been shared. We can replace it.

Your school may not copy, resell, sublicense or reverse engineer EveryFrame, or use it for anyone other than the school, except as the law allows.

6. Your school's account

Your school's account is linked to the billing contact's email address, which must be a school email address.

To sign in, we email a single-use sign-in link to that address. Anyone who can read that inbox can sign in, so keep it secure, and tell us if the billing contact changes.

7. If payments stop

If a monthly payment fails, we will retry it up to 8 times over the following 14 days.

If the payment has still not been made 14 days after it was due, the licence stops. EveryFrame then opens read-only on your school's computers: staff can still view and export the school's consent records, but cannot produce new exports.

The remaining months of the 12-month plan are still payable, and we will email an invoice for them to the billing contact.

8. Your school's records

EveryFrame runs on your school's own computers. Your school's footage, images, consent records and student information stay on those computers, and we do not receive them. The app contacts our licence server only to activate computers and check the licence.

Those records stay with your school whatever happens to the plan, including when it ends or payments stop.

9. Your school's responsibilities

EveryFrame helps staff check footage and photos against the school's own consent records. It does not give legal advice, and it does not make decisions for the school.

Your school remains responsible for what it publishes, for keeping its consent records accurate, and for meeting the laws and policies that apply to it.

No face detection is perfect. Staff should review footage and photos before they are published, including for any face EveryFrame did not find. Only staff your school has authorised should use EveryFrame.

10. Liability

Nothing in these terms excludes, restricts or modifies any right or remedy your school has under the Australian Consumer Law that cannot lawfully be excluded.

To the extent the law allows, our total liability arising from these terms or from EveryFrame is limited to the fees your school paid us in the 12 months before the claim arose, and we are not liable for indirect or consequential loss.

11. Suspending or ending the licence

We may suspend or end your school's licence if the school seriously breaches these terms, for example by sharing its licence key outside the school, and does not fix the breach within 14 days of us asking. Section 7 covers payments that stop.

12. Changes to these terms

We may update these terms. We will email the billing contact at least 30 days before a change takes effect. A change applies from your school's next renewal term, unless it does not disadvantage your school or the law requires it sooner.

13. Governing law

These terms are governed by the laws of Victoria, Australia. The courts of Victoria have non-exclusive jurisdiction.
